Our Consultants are uniquely qualified to help Investors and Investment Managers design incentive compensation Plans that create true alignment from Investor to Investment Manager to key Investment Manager employee (“Alpha Generator”), while enabling Investment Manager Partners and Alpha Generators to enjoy the power of tax-deferred capital accumulation. Achieving such results requires careful planning and compliance with applicable tax laws, including Sections 409A and 457A of the Internal Revenue Code.

We developed the Fund Alignment Rights (FAR®) Program to provide Investors and Investment Managers an easy and convenient way to optimize their incentive compensation Plans, provide the Investor with true alignment, and enable the Investment Manager to attract institutional Investors and to retain key Alpha Generators.

Investor Process

We consult with Investors to develop a plan for converting their hedge fund investments into FAR® Fund investments. In Phase I of the consulting process, we provide the Investor with detailed information on the costs and benefits of conversion. In Phase II, we assist the Investor in executing the plan and converting to FAR® Funds.

Phase 1: After entering into a mutual confidentiality agreement the Investor provides data on its existing hedge fund investments, including Investment Manager’s name, investment strategy, allocation, performance, Fund administrator and auditor, and Investment Manager’s legal counsel. We prepare a report that recommends the best FAR® terms to be obtained from each Investment Manager, and illustrates the increased returns the Investor can expect from FAR®s. While consulting with the Investor to determine its preferences and constraints with respect to FAR® Fund governance, liquidity, concentration and homogeneity, we also learn the Investor’s process for making future allocations. Our final report includes specific recommendations for converting the Investor’s existing Investment Managers and for ensuring that future allocations are made to FAR® Funds.

Phase II: Once the Conversion Plan is settled, including Optcapital’s role in executing the plan, we assist the Investor as agreed in making specific proposals to Investment Managers, illustrating the Investment Manager’s benefits, collaborating with the Investment Manager’s legal counsel and the Fund’s administrator and auditor, and overseeing aspects of the conversion.

Investment Manager Process

We consult with Investment Managers to develop a plan for offering Investors FAR®-based investments. In Phase I of the consulting process, we assist the Investment Manager with FAR® Plan design. Phase II includes implementing the FAR® Plan.

Phase 1: After entering into a mutual confidentiality agreement, we consult with the Investment Manager and the Investment Manager’s legal counsel to design the FAR® Plan, including the Fund and capital structure. Key decisions involve early redemption fees and new growth FAR®s, as well as whether to form a new Fund or add a FAR® class to an existing Fund. We address questions of how to deliver the FAR®s to Partners and key employees, including ways to create retention of key Alpha Generators. Once the design is finalized, we assist in preparing offering documents.

Phase II: After providing a draft of the FAR® Plan, we coordinate with the Fund administrator to integrate our respective services. The final step is to implement the FAR® Plan on Optlink® and begin daily operation of the Plan.

Consultants

Rick Ehrhart, JD, President & CEO, Optcompany -- Mr. Ehrhart co-founded the Company in 1998, and is responsible for the management and performance of the Company. He provides leadership for product innovation, directs advanced sales support, and serves as Chief Supervisory Officer of Optsecurities, LLC. Before founding the Company, Mr. Ehrhart was a consultant for a national firm that specializes in incentive compensation. From 1980 to 1992, he practiced law as a tax and benefits attorney. He received a BA in Economics with honors from Davidson College. He then graduated from the University of North Carolina School of Law where he was a member of the North Carolina Law Review. Mr. Ehrhart is currently a member of the Business Law and Tax Law Sections of the American Bar Association. A frequent speaker at compensation seminars, he participated as lecturer and author at the Employee Benefits Symposium sponsored by the John Marshall School of Law. His article, “Section 409A – Treasury ‘Newspeak’ Lost in the ‘Briar Patch’,” was published in the Fall 2005 edition of the John Marshall Law Review. In March, 2010 Pension and Investments Online published his article “Closing the pension funding gap: A tweak to hedge fund incentive compensation achieves true alignment and enhances returns without any alpha improvement.” 704-731-5964

Thom Young, MBA, President -- Mr. Young joined the Company in 2006 and is responsible for sales and marketing. Prior to joining the Company, he co-founded and managed Cambium Capital Management, a hedge fund that applied a conservative Jones model consisting of US equity long/short positions. Cambium was launched as a low volatility fund targeting large institutional investors. It attracted an experienced staff, built a scalable infrastructure and developed proprietary risk analytics. Assets peaked at $175 million. Redemptions caused Mr. Young and his co-founder to elect to close Cambium on April 28th, 2006. Before Cambium, Mr. Young worked as a Managing Director of Deutsche Bank in New York and Atlanta. He is also founder and President of the DAM Club, a social club for male Davidson College alumni. Mr. Young earned his MBA from the University of Virginia and his undergraduate degree from Davidson College. 704-731-5432

Jim Christian, MBA, Managing Partner -- Mr. Christian joined the Company in 2006 and is responsible for sales and marketing of the Company’s sister company, Optcomp, LLC. Prior to joining the Company, he was vice president of business development with U.S. Trust Company. From 1999 to 2004, he served as managing director and president of Aspen Strategic Alliance LLC, which included QED CapitalWorks LLC, an equity market neutral hedge fund, and Aspen Partners, Ltd. Mr. Christian helped grow the firm’s assets to over $450 million across several alternative strategies and had direct responsibility for daily operations, including marketing, client services, and management of the Aspen regional marketing representatives. Prior to joining Aspen Partners, Mr. Christian was vice president of business development for American Coating Technologies from 1997-1999. Mr. Christian also has Fortune 500 experience as a top salesperson with American Home Products. Mr. Christian earned his MBA in International Finance from the University of South Carolina in 1996, and his undergraduate degree in chemistry from Clemson University in 1993. 704-731-5973

Brad Barrett, Senior Managing Consultant -- Mr. Barrett joined the Company in 2008 in a senior marketing role. His responsibilities include direct contact with institutional investors, hedge fund investment managers and service providers as a specialist in the Company's “FAR Solution." Prior to joining the Company he was Founder and Managing Principal of Stetson Capital, LLC (2003), a US equity investment partnership. He was also Co-Founder and President of Agger Capital Management, LLC (2001), a US equity long-short hedge fund management company where he was responsible for all non-investment operations. For more than 20 years prior to that time, Mr. Barrett worked in a variety of investment banking/institutional equity sales roles, most recently with Donaldson, Lufkin & Jenrette, Inc. and Alex. Brown & Sons, Inc. Mr. Barrett is a 1980 graduate of the University of Virginia. 704-731-5972

Leif Lundberg, LL.M., Senior Managing Consultant -- Mr. Lundberg re-joined the Company in October 2006 as a Senior Managing Consultant in the Marketing Group. Mr. Lundberg works closely with institutional investors, hedge fund investment managers and service providers as a specialist in optimizing incentive compensation. Prior to re-joining the Company, he was a corporate consultant to companies such as IKEA North America and Greenfiber. Between 1999 and 2003, Mr. Lundberg worked with the Company as a compensation expert advising Fortune 1000 companies how to structure option-based executive retention plans. Prior to that time, he was an associate in the International Practice Group of the law firm of Smith Helms Mulliss & Moore, LLP. Mr. Lundberg has served as President of the Swedish-American Chamber of Commerce of the Carolinas and remains involved in promoting business between the Carolinas and Scandinavia. He earned his law degree from Lund University in Sweden and a Master of Law & Economics attending Oxford University, Hamburg University and Ghent University. 704-731-5995

Can Civi, Senior Financial Analyst, Alpha Team Leader -- Mr. Civi joined the Company in 2009 after graduating from Davidson College with a degree in economics. As Alpha Team Leader, he is responsible for data modeling for sales representations and projections. Steven White, MBA, Chief Information Officer -- Mr. White joined the Company in 2008. He is responsible for managing the Technology Services Group (TSG). Prior to joining the Company, he was a Director of Information Technology with Hanesbrands, Inc. and a Vice President of Information Technology with Sara Lee Corporation. Mr. White has also held significant leadership and project management roles with Accenture and Empower Solutions.
